(Hut 8) and U.S. Data Mining Group, US Bitcoin Corp. (USBTC), according to a Sept. 18 <a href=\"https:\/\/hut8.com\/2023\/09\/18\/hut-8-provides-update-on-business-combination-with-usbtc-obtains-final-order-for-plan-of-arrangement-from-the-supreme-court-of-british-columbia\/\">statement<\/a>.<\/p>\n<p>Following the news, Hut 8 Mining shares increased by nearly 5% to 2.97 Canadian dollars at the time of writing, according to <a href=\"https:\/\/www.google.com\/finance\/quote\/HUT:TSE?sa=X&ved=2ahUKEwigzZ_fxbSBAxX4Q0EAHQ6fA68Q3ecFegQIHRAf\">data<\/a> from Google Finance.<\/p>\n<p>The companies have combined in an all-stock merger of equals to form a new publicly traded U.S. entity, operating under &#8220;Hut 8 Corp&#8221; or simply &#8220;New Hut.&#8221; New Hut shares will be listed on the Nasdaq and Toronto Stock Exchanges (TSX) with the ticker &#8220;HUT&#8221; following the regulators' approval.<\/p>\n<p>However, despite the court's approval, the merger is still subject to certain conditions, including &#8220;<span class=\"s5\">U<\/span><span class=\"s5\">SBTC\u2019s registration statement becoming effective, the approval of USBTC\u2019s stockholders, and other closing conditions customary in transactions of this nature.&#8221; <\/span>If these conditions are met, the deal is expected to be complete by the fourth quarter of this year and ready for public trading.<\/p>\n<p>The merger aims to create a robust and dynamic business, as the two companies are equally one of the largest within the BTC mining space.<\/p>\n<p class=\"s3\">Hut 8 Mining has <a href=\"https:\/\/www.financialexpress.com\/business\/blockchain-hut-8-to-relocate-and-reuse-about-6400-rigs-3153593\/\">transported<\/a> 6,400 mining rigs from its previously idle facility in Ontario, Canada, to a new location in Texas, United States. This strategic relocation aligns with the surging demand for artificial intelligence and high-performance computing. Notably, this move occurs amidst an ongoing <a href=\"https:\/\/cryptoslate.com\/hut-8-mining-eyes-expansion-to-boost-capacity-as-energy-supplier-faces-insolvency\/\">legal dispute<\/a> between Hut 8 Mining and their energy provider, Validus Power.<\/p>\n<p>Meanwhile, USBTC <a href=\"https:\/\/cryptoslate.com\/us-bitcoin-corp-to-host-8500-miners-belonging-to-bankrupt-celsius\/\">announced<\/a> plans to accommodate 8,500 Bitcoin miners, collectively generating an anticipated hashrate of 820 petahash (PH).
