{"id":453670,"date":"2024-11-19T15:55:47","date_gmt":"2024-11-19T15:55:47","guid":{"rendered":"https:\/\/cryptoslate.com\/?p=453670"},"modified":"2024-11-19T15:17:41","modified_gmt":"2024-11-19T15:17:41","slug":"us-court-rules-daos-can-face-legal-liability-under-partnership-law","status":"publish","type":"post","link":"https:\/\/cryptoslate.com\/us-court-rules-daos-can-face-legal-liability-under-partnership-law\/","title":{"rendered":"US court rules DAOs can face legal liability under partnership law"},"content":{"rendered":"<p>The US District Court for the Northern District of California has ruled that decentralized autonomous organizations (DAOs) can face legal liability under general partnership laws.<\/p>\n<p>Judge Vince Chhabria's <a href=\"https:\/\/storage.courtlistener.com\/recap\/gov.uscourts.cand.422388\/gov.uscourts.cand.422388.115.0.pdf\">decision<\/a>, delivered on Nov. 18, establishes that DAOs and their identifiable members can be held accountable for legal actions.<\/p>\n<p>This judgment emerged from a lawsuit involving <a href=\"https:\/\/cryptoslate.com\/products\/lido\/\">Lido<\/a> DAO, a decentralized autonomous organization behind the Ethereum <a href=\"https:\/\/cryptoslate.com\/coins\/steth\/\">liquid staking protocol<\/a>.<\/p>\n<p>The organization attempted to avoid liability by claiming it was not a legal entity. However, the court determined that Lido DAO operates as a general partnership.\u00a0The Judge wrote:<\/p>\n<blockquote><p>&#8220;The Lido DAO general partnership [may be] narrower (for instance, including only the founders) or broader (for instance, including everyone who has voted on a governance proposal or who holds any LDO).&#8221;<\/p><\/blockquote>\n<p>Under California law, a partnership is formed when two or more parties work together for profit, regardless of intent to create a formal partnership.<\/p>\n<h2>Lido DAO lawsuit<\/h2>\n<p>Andrew Samuels, a former LDO token holder, initiated the lawsuit after incurring losses from a decline in the token's value.<\/p>\n<p>Samuels accused <a href=\"https:\/\/cryptoslate.com\/coins\/lido-dao-token\/\">Lido DAO<\/a> of offering unregistered securities and violating federal securities laws. He argued that the DAO and its identifiable partners should bear responsibility for his financial losses.<\/p>\n<p>Judge Chhabria supported Samuels' claims, emphasizing that Lido DAO's decentralized structure does not shield it from legal action.<\/p>\n<p>The lawsuit named institutional investors such as <a href=\"https:\/\/cryptoslate.com\/companies\/paradigm\/\">Paradigm<\/a>, Andreessen Horowitz (<a href=\"https:\/\/cryptoslate.com\/companies\/a16z\/\">a16z<\/a>), Dragonfly Digital Management, and Robot Ventures as liable partners. While Robot Ventures' dismissal motion was accepted due to insufficient evidence, the others remain implicated.<\/p>\n<p>The court further clarified that Lido DAO's business model aligns with general partnership criteria. It operates an Ethereum staking service that collects a percentage of staking rewards, with plans to distribute revenue among founders and token holders.<\/p>\n<h2>Community reaction<\/h2>\n<p>The ruling has triggered unease within the blockchain sector as it sets a precedent that could impact other DAOs and their contributors.<\/p>\n<p>Miles Jennings, General Counsel at venture capital firm a16z Crypto, <a href=\"https:\/\/x.com\/milesjennings\/status\/1858720755523219932\">called<\/a> it a significant challenge for decentralized governance. Jennings warned that even minimal participation in a DAO could lead to legal liability for other members' actions.<\/p>\n<p>He suggested this might push the industry toward adopting the <a href=\"https:\/\/cryptoslate.com\/wyoming-to-recognize-daos-as-legal-entities-under-newly-passed-law\/\">Decentralized Unincorporated Non-profit Association Act (DUNA)<\/a> as a protective measure. DUNA is a bill passed in Wyoming that recognizes blockchain-based decentralized autonomous organizations (DAOs) as legal entities.<\/p>\n<p>Similarly, pro-crypto lawyer\u00a0Gabriel Shapiro commented that DAOs may now require formal legal structures to minimize risk.
