Declining financing does not, by itself, remove a qualifying trade from that framework when a covered offer applies and neither actual delivery nor another statutory exception removes it from coverage.<\/p>\n<p>The CFTC <a href=\"https:\/\/www.cftc.gov\/PressRoom\/PressReleases\/9307-26\">announced the consultation on Oct. 5<\/a>, and the advance notice of proposed rulemaking was published in the Federal Register on Oct. 13. Comments are due Dec. 14. It sets out the agency\u2019s preliminary reading of existing law and seeks input for possible rulemaking; it does not enact a new final trading rule.<\/p>\n\n<div class=\"cs-article-embed\">\n    <a href=\"https:\/\/cryptoslate.com\/cftc-makes-its-biggest-move-yet-to-bring-offshore-crypto-trading-back-to-the-us\/\" class=\"cs-article-embed__link\">\n        <div class=\"cs-article-embed__body\">\n            <span class=\"cs-article-embed__related-reading\">Related Reading<\/span>\n            <h3 class=\"cs-article-embed__title\">CFTC makes its biggest move yet to bring offshore crypto trading back to the US<\/h3>\n        <\/div>\n        <span class=\"cs-article-embed__arrow\" aria-hidden=\"true\">\n            <i class=\"fa-light fa-arrow-up-right\"><\/i>\n        <\/span>\n    <\/a>\n<\/div>\n\n<h2>Why an unused financing offer matters<\/h2>\n<p>Section 2(c)(2)(D) of the Commodity Exchange Act covers certain retail commodity transactions entered into or offered on a leveraged or margined basis, or financed by the offeror, counterparty or someone acting in concert with them. The retail category excludes eligible contract participants and eligible commercial entities. The framework includes a requirement to trade on a designated contract market, subject to statutory exceptions.<\/p>\n<p>In Section III.A, the CFTC preliminarily says a covered offer can attach to transactions for which the customer could accept it, even if an individual purchase is fully paid. Such offers could appear in onboarding documents, exchange terms or credit agreements and extend across an account or class of trades. The offer must apply to the purchase in question.<\/p>\n<p>Consider a hypothetical retail buyer whose exchange offers financing applicable to a Bitcoin purchase. The buyer declines, pays the entire price and receives a Bitcoin balance recorded only on the exchange\u2019s books, without actual delivery. The notice says that, for crypto assets, this may require credentials such as private keys for the relevant wallet or account. A separate exception covers certain business delivery contracts with enforceable obligations between parties able to deliver and accept delivery in their lines of business. Paying in full alone establishes neither exception.<\/p>\n<p>Even after actual delivery, the notice says the CFTC retains anti-fraud and anti-manipulation authority. Within the <a href=\"https:\/\/cryptoslate.com\/cftc-makes-its-biggest-move-yet-to-bring-offshore-crypto-trading-back-to-the-us\/\">broader proposed market framework<\/a> previously covered by
